（11）“转让”（Assignment or Successors and Assignment）条款
在该条款中，合同双（各）方可约定合同不可转让或者合同转让的程序，同时，还可以约定，如果合同转让，则合同对受让方有完全约束力。
（12）“通知”（Notice）条款
该条款是对合同双（各）方在履行合同过程中相互送达信息的方式以及视为送达的条件进行约定。一般来讲，要写明合同双（各）方的通信地址、传真号、联系电话、联络人以及送达成功的具体条件。
（13）“适用法律”（Governing Law or Applicable Law）条款
该条款是有关合同解释、争议解决所适用法律的约定。
（14）“争议解决”（Dispute Resolution）条款
该条款是有关合同或与合同有关的争议解决方式的约定，可以选择诉讼，也可以选择仲裁。
（15）“条款效力独立”（Severability or Survival of terms）条款
根据该条款的约定，合同的任一条款如果无效，也不影响其他任何条款的效力。
（16）“不可抗力”（Force Majeure）条款
该条款是有关不可抗力构成要件及其具体情形，以及在发生不可抗力事件的情况下如何处理的约定。
（17）“所有协议”（Entire Agreement）条款
在该条款中，合同双（各）方要声明本合同构成双（各）方就合同主体事宜达成的最终的、唯一的协议。除非明确指明，在此之前的所有约定，无论是口头的，还是书面的，均无效力。
（18）“传真签订生效”（Execution by Fax）条款
合同双（各）方可以在该条款中约定，双（各）方可通过传真方式签订合同并使其生效。
（19）“语言”（Language）条款
该条款是有关合同适用语言的约定。
（20）“合同文本”（Counterparts）条款
该条款是对合同的份数以及各份合同的效力进行约定。
（21）“歧义”（Ambiguities）条款
在该条款中，合同双（各）方要约定主合同与其附件之间、主合同与其补充协议之间、主合同各语言文本之间如果发生意思歧义如何处理。
（22）“币种”（Currency）条款
该条款是对合同项下的货币种类进行约定。
4 尾部（Closing Clause）
英语合同的尾部，通常由证明部分（attestation）、签字部分（signature）和附件部分（addendum）组成。
（1）证明部分（Attestation）
也叫结尾辞，“结尾辞”指的是在当事人签名之前经常会出现一段文字，相当于中文合同中“双方签字盖章，特此为证”。通常由 "In Witness Whereof"或"Intending to be legally bound"或"In Testimony Whereof" 引导，后面加 execute、sign 或 enter into 或 deliver 的主动句型或被动句型。
例如：
IN WITNESS WHEREOF， the parties hereto have caused this Agreement to be executed by duly authorized representatives of both parties on the date and year first written above.（本协议于上述所记载日期，双方代表缔结生效，特此为证。）
又例如：
IN WITNESS WHEREOF， the parties have executed this Contract in duplicate by their duly authorized representatives on the date first above written.（双方授权代表于上述日期正式签订本协议，一式两份，特此为证。）
IN WITNESS WHEREOF， the parties hereto have caused this Agreement to be executed by duly authorized representatives on the date first written above. The effective date of this contract shall commence upon the date of signature and seal by parties hereto， which shall terminate on end and conclusion of guarantee period by original manufacturer.（本合同由双方授权代表在上述日期代表各方签署订立，特此为证。本合同于双方签字盖章之日起生效，至原厂提供的质保期结束时终止。）
IN WITNESS WHEREOF， this Contract is executed by and between the seller and buyer on the 4th of July 2010 and the duly authorized representatives of the seller and the buyer have read the clauses of the contract and signed on this day. This Contract shall be effective after mutual signatures and affixing of badges， once both parties sign the contract by Email or fax.（买卖双方代表于2010年 7月4日已阅读以上条款并订立本合同，合同通过电子邮件或传真双方签字盖章后正式生效，即日起执行。）
合同有时用这样的表达：NOW THESE PRESENTS WITNESS（兹特立约为据）本句话也适用于WHEREAS条款之后引出具体协议事项。PRESENTS（the present writings）是主语，WITNESS是谓语。
例如：
NOW THESE PRESENTS WITNESS that it is hereby agreed between the parties hereto as follows：（兹特立约为据，并由订约双方协议如下：）
例如：
IN THE PRESENCE OF the parties hereto have hereunder set their respective hands and seals：（作为协议事项的证据，订约双方各自签名盖章如下：）
另外，如果合同结尾辞里注明的日期和合同前言所载明的日期相同，就用"the date and year first written above"类似的词语表示，如果不同的话，就应该另以条款定明合同生效日（Effective Date），以免产生争议。
例如：
After this Contract is signed by the duly authorized representatives of both parties， both parties shall submit the contract to their governments or Boards of Directors for approval. The date when the later party obtainsthe approval shall be taken as the effective date of the contract. Both parties shall attempt to get the contract approval within 60 days from signing and notify by telex or cable the other party of the approval which is confirmed by the following registered air-mail letter.（本合同经双方正式授权代表签署后，应提交各自政府或董事会批准。稍后一方获得批准日期为本合同生效日。双方应尽力在合同签署后60日内获得批准并以电传或电报形式通知该批准，随后以航空挂号邮件确认。）
（2）签字部分（Signature）
英语合同的签字部分，一般不签写日期，这点与中文合同不同。
当事人为法人或其他组织时，签字部分先由代表人在"signed by"之后签上姓名，然后于"For and on behalf of"后面填写所代表的单位名称。然后是签字人的职务（position， designation或in the capacity of表示），有见证人的，在"in the presence of "或 "witnessed by"后面由见证人签名。
